On October 19, 2021, the Ontario Not-for-Profit Corporations Act, 2010, S.O. 2010, c. 15 ("ONCA") entered into force.
As you may recall, the ONCA received royal assent on October 25, 2010 with amendments in 2017 and 2021. Relevant for hospitals, the ONCA clarifies provincial rules of governance and simplifies the incorporation process for not-for-profit corporations incorporated in Ontario. Hospitals are advised to review and revise their governing documents in order to conform with the new Act.
The Ontario Hospital Association (OHA) has created this resource page to assist members during the ONCA transition period. Developed in partnership with legal and governance experts at Borden Ladner Gervais LLP (BLG), the OHA has worked with BLG to revise its Hospital Prototype Corporate By-law and align a number of key forms that have been impacted by this legislative change. Given the complexity of this transition period, an Implementation Guide with frequently asked questions has also been developed, all of which can be accessed below.
