Faculty Bios

David Brown is Canada’s leading thinker, speaker, writer and practitioner in corporate governance. Since 1995, David has co-founded the International Corporate Governance Centre in Montreal, the National Awards in Governance in Toronto, the Public Enterprise Governance Centre in Ottawa, and the Directors College in Niagara. David is the author of the definitive Canadian chapter in the international handbook of corporate governance. He is on the faculty of the University of Toronto’s St. Michael’s College and McMaster University’s Directors College, where he teaches corporate governance, corporate social responsibility, finance and risk oversight. David currently serves as a member of Enbridge Inc.’s Expert Advisory Committee on corporate social responsibility, the Community Foundation of Ottawa’s Vital Signs committee, and the Auditor General of Canada’s Annual Report Awards adjudication panel.

Anne Corbett is a Senior Partner with the law firm of Borden Ladner Gervais LLP in Toronto where she specializes in the areas of corporate commercial law and health law with a special emphasis on corporate governance. Anne is involved in providing advice to boards of hospitals, hospital foundations, not-for-profit corporations and pension administrators with respect to governance issues. She has also been involved in several hospital amalgamations and restructurings and in transactions between hospitals and the private sector involving partnerships, outsourcing and joint venture arrangements. She provides advice to academic hospitals as well as to community hospitals and rural and northern hospitals. She is a frequent speaker for the Ontario Hospital Association on topics related to directors, fiduciary duties, governance and accountability, including accountability agreements. Anne Corbett received her B.A. from the University of Windsor in 1976, her LL.B. from the University of Toronto in 1979 and was called to the Bar of Ontario in 1981.

Lynne Golding leads the firm's Health Law Group and has an active corporate-commercial practice principally in the health industry, which involves transactions dealing with public and private corporations in both regulated and unregulated industries. Her own practice focuses on corporate law, particularly structuring contractual arrangements between hospitals and private sector service providers and providing governance advice.

James L. Goodfellow FCA, is a senior partner and vice chairman of Deloitte who advises boards of directors, audit committees, corporate executives and securities regulators in Canada and internationally on governance and corporate reporting related issues. James Goodfellow served as the research director for the Joint Committee on Corporate Governance. He has also served on and/or chaired multiple boards and board committees including the boards of the CICA and the Canadian Institute of Corporate Directors.
James Goodfellow is a sought out expert and frequent speaker on issues related to corporate governance, audit committees and financial reporting. Recent publications include “Integrity in the Spotlight; Opportunities for Audit Committees", co-authored with Maureen Sabia, and the second edition, “Audit Committees in a High Risk World”.

Janet Hardy, As a founding partner of Chrysalis Group, Janet brings in-depth expertise and smart solutions to the design and implementation of strategic rewards and performance management programs to clients. Janet focuses on developing pragmatic business approaches to client problems when existing reward or performance management programs aren’t working to their full potential or generating the desired results.
Prior to founding Chrysalis Group, Janet worked for many years at an international human-resource consulting firm and also as a Director of a Toronto-based change management firm.
Janet is on faculty at both the Rotman School of Business and the Centre for Industrial Relations as an Adjunct Professor at the University of Toronto. She teaches and speaks regularly about the unique power of strong pay and performance management programs to focus the energies and talents of people on the right business goals and create a great work environment. Janet has degrees from the Ivey School of Business, Dalhousie and Queens University.

Shannon MacDonald, CA, M.H.Sc, is a partner and the national healthcare leader at Deloitte where she is responsible for providing services to some of Deloitte‘s largest healthcare clients. Shannon MacDonald advises boards of directors, audit committees and corporate executives in the healthcare industry on governance, financial management and enterprise risk management related issues. She has presented to the healthcare industry in the areas of fraud, internal controls, financial instruments, and employee future benefits as well as taught at the University of Toronto's Masters in Health Science program.

Jim Mackay, the Managing Partner of the Berkeley Consulting Group, focuses on strategic change management and counselling organizational leaders. Berkeley is an independent Canadian partnership with a network of consulting associates locally, and a global affiliate in the U.K. Applying his thirty years in management consulting, Jim leads strategic change projects, and provides leadership feedback and executive coaching to global private sector and public sector clients. Jim is also an Adjunct Professor of Strategic Management at the Schulich School of Business (York University) where, since 1985, he has taught in the MBA program. Jim has a BA (Hons. Economics, University of Toronto), an MBA (University of Western Ontario), and is a CMC, (Certified Management Consultant).

Dr. Elaine Todres, President of Todres Leadership Counsel, has a wealth of leadership experience and creative ideas to share with organizations, their executives, and boards of directors who are looking for advice and support that is out of the ordinary. Todres Leadership Counsel specializes in Governance, Strategic Facilitation and Policy Development.
Elaine has a Ph.D. in Political Science from the University of Pittsburg, and has been in leadership positions in both the public and private sectors before forming her consulting company. As a Deputy Minister, she held several key portfolios over a ten year period, and served for three different administrations in the Ontario public service. More recently, she was the President of the Baycrest Centre Foundation (1997 to 2000), and was a member of the senior management team of the Baycrest Centre.
Her clients include not-for-profit and for-profit organizations in health care, justice and education sectors.

Tracey Wallace, BS, MBA, CHRP, is a Senior Manager at Deloitte in the human capital consulting practice. She has close to 20 years of human capital consulting experience working with both public and private organizations, particularly in the areas of talent management, learning and development, strategic planning, change management and facilitation. Tracey also brings a depth of experience in CEO Coaching, Executive Team Development and Board development including, facilitation of Board dynamics (dialogue styles, decision making processes, conflict resolution), understanding the cultural environment (shared and separate values, behaviors), board evaluation and peer evaluation, board alignment, accelerated integration of a new CEO, and Board Retreats.
